These Terms of Service ("Terms") govern your use of the website located at eastcoastprecast.com (the "Site") and the products and services offered by East Coast Precast, LLC ("East Coast Precast," "we," "us," or "our"), a Virginia limited liability company with its principal place of business at 10101 Superior Way, Amelia, VA 23002. Please read these Terms carefully.
1. Acceptance of Terms
By accessing or using the Site, submitting a quote request or contact form, purchasing products, or otherwise engaging our services, you agree to be bound by these Terms and by any additional written agreement executed between you and East Coast Precast. If you are accessing the Site or engaging our services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Site or our services.
2. Use of Website
You may access and use the Site for lawful business purposes, including to learn about our products, request a quote, and communicate with our team. You agree not to:
- Scrape, crawl, or otherwise systematically download content from the Site except through publicly documented feeds or with our prior written permission
- Reverse engineer, decompile, or attempt to derive the source code of any portion of the Site
- Submit false, misleading, or fraudulent information in any form, including quote requests submitted under a false identity or on behalf of a company you do not represent
- Introduce viruses, malware, or any other malicious code; attempt to gain unauthorized access to any portion of our infrastructure; or interfere with the normal operation of the Site
- Use the Site to harass, threaten, or defraud any person, or to transmit any content that is unlawful, defamatory, or infringing
- Use any automated system (bots, scripts, or similar tools) to submit forms or otherwise interact with the Site in a way that generates artificial load
We reserve the right, at our sole discretion and without notice, to restrict, suspend, or terminate access to the Site for any user who violates these Terms or whose activity places our infrastructure or other users at risk.
3. Intellectual Property
All content on the Site — including text, photographs, product illustrations, engineering diagrams, panel drawings, videos, logos, product names, and the overall look and feel — is owned by East Coast Precast or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, reproduce, republish, distribute, or create derivative works from any portion of the Site without our prior written permission, except for personal, non-commercial reference use or for the internal business purpose of evaluating our products for a specific project.
Trademarks and product names
- Legacy Wall Products is a trademark of East Coast Precast, LLC and identifies our line of structural precast wall systems.
- StoneTree® is a registered trademark of Smith-Midland Corporation. East Coast Precast is a licensed producer of the StoneTree® precast concrete fence system and uses the mark under license.
- Superior Walls is a registered trademark of Superior Walls of America, Ltd. References to Superior Walls on this Site reflect our founders' historical partnership with Superior Walls of Central Virginia, Inc., under which East Coast Precast was established in 2007. Superior Walls-branded products described on this Site are produced under license and in accordance with the licensor's specifications.
All other trademarks, service marks, and trade names referenced on the Site are the property of their respective owners. Nothing on the Site grants you any license or right to use any trademark without the prior written permission of the owner.
4. Product Information and Quotes
Product descriptions, dimensional data, load tables, and finish illustrations on the Site are provided in good faith for general reference. Final specifications for any project are subject to engineering review and to the applicable shop drawings, project drawings, and specifications for that project.
Unless expressly stated otherwise in a written quote, the following terms apply to quote requests and orders:
- Quote validity. Written quotes are valid for thirty (30) days from the date of issue and are subject to confirmation of material, freight, and labor availability at the time of order.
- Order acceptance. All orders are subject to a signed purchase order or contract executed by both parties. A quote, even after acceptance in principle, does not constitute a contract until it is documented in writing and signed.
- Payment terms. Our standard payment terms are Net 30 for approved commercial credit accounts. For new accounts and projects for which credit has not been established, standard terms are fifty percent (50%) at order confirmation and fifty percent (50%) upon delivery. Alternative payment schedules may be negotiated in writing.
- Taxes and freight. Prices are exclusive of applicable sales, use, or excise taxes, and exclusive of freight unless expressly quoted as delivered.
- Changes and cancellations. Changes to a confirmed order after production has begun may result in change-order pricing and delivery adjustments. Cancellations after production has begun may result in restocking or scrap charges.
5. Warranties and Disclaimers
Our products are manufactured to the specifications provided by the customer or the customer's engineer of record for the project. Unless expressly stated otherwise in a written agreement or a specific product warranty document:
- Standard product warranty. East Coast Precast warrants that its products will be free from manufacturing defects in materials and workmanship for a period of one (1) year from the date of delivery. Extended warranty terms are available for certain products (for example, the StoneTree® fence system) and are documented in the applicable product warranty statement.
- Remedy. The customer's sole and exclusive remedy under our standard warranty is, at our option, repair or replacement of the defective product, or refund of the purchase price allocable to the defective product.
- Exclusions. Our warranty does not cover damage caused by improper handling, transport, or installation after delivery has been accepted; damage from ground movement, settlement, seismic activity, flood, fire, impact, or force majeure events; cosmetic variations inherent in cast concrete; or defects attributable to design deficiencies in customer-supplied engineering, specifications, or shop drawings.
- Disclaimer of implied warranties. To the maximum extent permitted by law, the express warranty above is in lieu of all other warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
East Coast Precast is not responsible for design defects, engineering errors, or specification deficiencies originating in materials supplied by the customer or the customer's engineer of record.
6. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will East Coast Precast, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including lost profits, lost revenue, delay damages, loss of use, or cost of substitute goods — arising out of or relating to these Terms, the Site, our products, or our services, whether based in contract, tort, warranty, statute, or any other legal theory, and whether or not East Coast Precast has been advised of the possibility of such damages.
Our aggregate liability arising out of or relating to any product, order, or project will not exceed the contract value paid or payable to East Coast Precast for that specific product, order, or project.
7. Governing Law and Venue
These Terms, and any dispute arising out of or relating to these Terms, the Site, our products, or our services, are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
The parties agree that any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Chesterfield County or in the City of Richmond, Virginia, and each party consents to the personal jurisdiction of those courts.
8. Force Majeure
Neither party will be liable for delay or failure in performance (other than the obligation to pay amounts due) caused by events outside its reasonable control, including acts of God, fire, flood, hurricane, severe weather, earthquake, war, terrorism, civil disturbance, epidemic or pandemic, government action, embargo, labor strike or lockout, transportation disruption, shortage of raw materials, or failure of utilities or infrastructure. The affected party will notify the other promptly and will use commercially reasonable efforts to resume performance.
9. Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms — whether by operation of law, merger, change of control, or otherwise — without our prior written consent. East Coast Precast may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
10. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, severed from these Terms. The remaining provisions will continue in full force and effect.
11. Entire Agreement
These Terms, together with any signed purchase order, contract, or other written agreement executed between you and East Coast Precast in connection with a specific project, and any policies referenced within them (including our Privacy Policy and Email Policy), constitute the entire agreement between the parties with respect to their subject matter and supersede all prior or contemporaneous understandings, whether written or oral. In the event of a conflict between these Terms and a signed written contract for a specific project, the signed contract controls with respect to that project.
